Terms of Use

1. Agreement to terms

These Terms of Use (“Terms”) form a binding agreement between you and Novu Systems LLC (“Ribat”, “we”, “us”) governing your access to and use of the Ribat website and the Ribat property operations platform at app.getribat.com (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. The Service

Ribat provides tools for short-stay property operators, including channel synchronisation, a booking calendar, rate management, reservation and guest management, automated guest messaging, and smart-lock access automation. Features are provided on an “as available” basis and may evolve over time; some capabilities may be described as upcoming or on our roadmap and are not guaranteed by a specific date.

3. Accounts & eligibility

• You must be at least 18 years old and able to form a binding contract.
• You are responsible for the accuracy of your account information and for maintaining the confidentiality of your credentials.
• You are responsible for all activity under your account, including that of your team members, and for setting appropriate role-based permissions.

4. Free trial, subscriptions & billing

• Free trial. New accounts include a 14-day free trial. A payment method may be required to start the trial. You will not be charged until the trial ends, and you may cancel at any time before then at no cost.
• Pricing. The Service is offered as a subscription billed monthly in USD, as a flat fee per property based on the number of rooms at that property (from $49/mo). Each property is billed independently.
• No commission. We do not charge a booking commission, per-reservation fee, or setup fee.
• Room-band changes. If a property's room count changes, its applicable price band — and therefore its fee — may change accordingly at the next billing cycle.
• Renewal & cancellation. Subscriptions renew automatically each month until cancelled. You may cancel at any time; cancellation stops future charges and takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable.
• Taxes. Fees are exclusive of taxes, which you are responsible for where applicable.

5. Your content & data

You retain all rights to the data you submit to the Service (“Your Content”), including property, reservation, and guest data. You grant us a limited licence to host, process, and transmit Your Content as necessary to provide the Service. You are responsible for Your Content and for having the rights and legal bases needed to process guest and third-party data through the Service. Our handling of personal data is described in the Privacy Policy.

6. Acceptable use

You agree not to:

• Use the Service unlawfully or in violation of the terms of any connected booking channel or lock provider.
• Attempt to gain unauthorised access to the Service, other accounts, or connected systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse engineer, resell, or sublicense the Service except as permitted by law.
• Use the Service to send unlawful, harassing, or unsolicited messages.

7. Third-party integrations

The Service connects with third-party services, including booking channels (such as Booking.com, Expedia, and Agoda), smart-lock providers (such as TTLock), messaging providers, and payment processors. Your use of those services is governed by their own terms, and their availability and behaviour are outside our control. We are not responsible for the acts, omissions, downtime, or policy changes of third-party providers.

8. Smart locks & access

Ribat can automate the generation, delivery, and expiry of door-access passcodes for compatible smart locks. Reliable remote operation depends on factors outside our control — including your lock hardware and firmware, an online Wi-Fi gateway where required, network connectivity, and correct configuration. You are responsible for maintaining your locks (including battery and connectivity), for verifying access arrangements, and for keeping a backup method of entry. To the maximum extent permitted by law, Ribat is not liable for lockouts, unauthorised access, or losses arising from lock hardware, connectivity, or misconfiguration.

9. Intellectual property

The Service, including its software, design, and content (excluding Your Content), is owned by Ribat and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding without our prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA SYNCHRONISATION WITH THIRD-PARTY CHANNELS WILL BE TIMELY OR ACCURATE IN ALL CASES.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIBAT AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold Ribat harmless from claims, damages, and expenses arising out of Your Content, your use of the Service, or your violation of these Terms or of any third-party rights, including guests' or property owners' rights.

13. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ceases; certain provisions that by their nature should survive will survive.

14. Governing law

These Terms are governed by the laws of the State of Wyoming, United States, where Novu Systems LLC is organized, without regard to conflict-of-law principles. The state and federal courts located in Wyoming will have exclusive jurisdiction, except where mandatory local law provides otherwise.

15. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page and revise the “Last updated” date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
